The (Missing) Relation Between Acquisition Announcement Returns and Value Creation
The paper by Ben‑David, Bhattacharya, Huang and Jacobsen shows that the cumulative abnormal return (CAR) around acquisition announcements does not predict actual deal outcomes. Analyzing over 47,000 deals from 1980‑2018, the authors find no correlation between CAR and goodwill impairments, post‑deal operating performance, or whether the transaction completes. By contrast, a simple model using publicly known deal characteristics forecasts outcomes and generates an 8‑11% five‑year return spread, while CAR’s spread is under 3%. The authors argue that CAR mainly reflects investors’ reassessment of the acquirer, not the specific transaction, calling into question its use in governance, litigation and academic research.
